The board

Roy has been Chairman of Institutional Protection (IP) since it was founded in 2004.

Roy is also currently Chair of the City, University of London in the Middle East; Chairman of the Advisory Council of British Expertise International; member of the UK/UAE Business Council; and Director of Turquoise Global Holdings Ltd – part of the London Stock Exchange Group, chairing the audit and compliance function. His other current directorships include GF Financial Markets Limited – the overseas operation of one of China’s largest Capital Markets Groups.

Roy was UK Chairman of Credit Lyonnais SA and Calyon SA; chair of the International Task Force of the World Bank; Chairman of the FSA Practitioner Panel, a statutory body which was part of the UK Regulatory System; a member of the Overseas Markets Advisory Group of the CFTC in Washington and the Senior Independent Director of the Dubai Mercantile Exchange. He also chaired the All-Party Parliamentary Wholesale Financial Services and Markets Group in the UK. Roy has advised central banks and governments around the world.

Roy is a gold member of the Institute of Chartered Accountants of Scotland, a Fellow of the Chartered Institute of Bankers and a Fellow of the Alzheimer’s Research UK. He is a Commissioner of the Lieutenancy of the City of London.

Alan joined the Board of Institutional Protection (IP) in 2016 as Non-Executive Director.

Alan is Chairman of Turquoise Global Holdings Ltd – part of the London Stock Exchange Group and Director of Arbuthnot Banking Group. He is also Vice President of the Royal Mencap Society, Independent Partnership Advisor to James Hambro & Partners and Advisory Board Member of Zeaco Incorporated (USA). Alan is a member of the Takeover Appeal Board, the Advisory Board of the Commonwealth Investment & Advisory Council, a Doctor of Science Honoris Causa of City University London and an Honorary Fellow of the Institute of Chartered Secretaries & Administrators. He is an Alderman, Magistrate and HM Lieutenant of the City of London, a member of the Court of the Fishmongers’ Company and Liveryman of several other Livery Companies.

Alan recently stepped down as Chairman of the Chartered Institute for Securities & Investment (CISI). Alan was appointed the Lord Mayor of the City of London for the year 2014 -2015 and was awarded the honour of Knight Bachelor for services to international business, inclusion and the City of London in 2016. He left Dresdner Kleinwort in December 2009, after 37 years with the group, latterly as Group Vice Chairman and Chairman of the UK Bank.

Alan was formerly Sheriff of the City of London in 2011-12, Almoner of Christ’s Hospital, Trustee of the Police Foundation, Deputy Chairman of the FSA Practitioner Panel, Chairman of LIBA (now AFME), Chairman of Complinet Ltd, a Director of Fixnetix Ltd, Chairman of Kleinwort Benson Group, Vice President of British Bankers Association and Member of the Takeover Panel and the Chancellor of the Exchequer’s High Level Stakeholder Group.

William joined the Board of Institutional Protection (IP) in 2016 as Non-Executive Director.

Since 1973, William has been managing charitable, company, and private client portfolios. He was Chief Investment Officer at Laing & Cruickshank, has acted as Chairman of the Henderson High Income Trust and is currently a Director of the European Investment Trust and Henderson International Income Trust.

In addition, William is a Chartered Fellow of the Chartered Institute for Securities and Investment and an Associate of the Society of Investment Professionals. Amongst his charitable commitments, he is Secretary of the John Hampden Fund, a Trustee of Marshall’s Charity and a member of the Finance Committee of ABF – The Soldiers’ Charity. He is a Business Fellow of Gray’s Inn and a Wykeham Fellow of New College, Oxford.

Caroline founded Institutional Protection (IP) in 2004. Anticipating that the investor action landscape would internationalise and grow in complexity and participation in investor actions would necessarily become mainstream, her vision was to create a company dedicated to providing institutional investors with the most comprehensive, global service across all investor actions. Caroline has a wealth of experience of the investor action landscape across many jurisdictions and is a regular conference and webcast speaker.

Previously, Caroline worked for the London Stock Exchange as Head of International Business Development, Head of New Business Streams and founder and Head of the Exchange’s Training and Consultancy division. She also sat on the Exchange’s Management Committee. Prior to this, Caroline worked in various market regulation and international market development roles, and for Credit Lyonnais at their Paris headquarters, trading financial futures. She holds a MA from Balliol College, Oxford University.

John has been the Chief Operating Officer of Institutional Protection (IP) since 2012. He is responsible for turning the IP strategy into operational and financial success. He has a breadth of industry experience and knowledge, a keen eye for detail and the ability to manage strategically. John is also the Company Secretary and Data Protection Officer. He was appointed a Board director in 2016.

Prior to joining IP, John worked at a number of companies in the UK, Ireland and the US, ranging from start-ups to those with multi-million turnovers. He has over 20 years’ experience of designing and implementing strategies to bring visible operational benefits to the business without sacrificing quality of service, governance or compliance. John read law at the University of Wales, qualified as a barrister and was called to the bar by Gray’s Inn.
